These Terms of Service ("Terms") govern your access to and use of OpenInstrument ("Service"), operated by OpenInstrument ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@openinstrument.com if you suspect unauthorized access.
You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement.
You agree to use the Service only for its intended purpose — managing scientific instrument scheduling and access within a research lab or department. You agree not to:
The user who creates a lab is designated its owner and is responsible for managing member access, instrument configuration, and any content uploaded to that lab. Lab owners are responsible for ensuring that members of their lab comply with these Terms.
Department and University license holders ("Organization admins") are responsible for managing the labs and members within their organization.
Paid plans are billed on a monthly basis. All fees are stated in US dollars and are non-refundable except as required by law or as described below.
We use Stripe to process payments. By providing payment information, you authorize us to charge your payment method for all fees associated with your selected plan.
If your payment fails, we will notify you and provide a grace period of at least 7 days to update your payment information before access to paid features is restricted. Your data will not be deleted due to a payment failure — you will retain read access until the matter is resolved.
You may cancel your subscription at any time from your billing settings. Your plan will remain active through the end of the current billing period.
We reserve the right to change pricing with at least 30 days' notice delivered to the email address associated with your account.
You retain ownership of all data and content you upload to the Service ("Your Content"), including instrument information, reservation data, files, and notes. By uploading content, you grant us a limited license to store, display, and process it solely for the purpose of providing the Service to you.
You are responsible for ensuring Your Content does not violate any applicable laws or third-party rights.
If you delete your account, we will delete your personal data within 30 days, except where we are required to retain it by law. Lab and reservation data may be retained in anonymized form for internal analytics.
If a lab is deleted by its owner, all associated reservations, instruments, and files will be permanently deleted.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
The Service, including its software, design, and content (excluding Your Content), is owned by OpenInstrument and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand elements.
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Continued use after the effective date of updated Terms constitutes acceptance.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or uninterrupted.
To the maximum extent permitted by law, OpenInstrument shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice. You may terminate your account at any time through your account settings.
These Terms are governed by the laws of the United States. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in a court of competent jurisdiction.
